ハゲタカ

いまさらですが、NHKドラマ「ハゲタカ」をイッキ見しました。前々から面白いと聞いていたんだけど、面白かった!キャストも豪華で、大森南朋、柴田恭平の演技に引き込まれるようにイッキ見しちゃいました。大森南朋、やっぱりカッコいいなぁ。



ハゲタカは元新聞記者の作家・真山仁による小説「ハゲタカ」と「バイアウト」の2作品をドラマ/映画化した作品。2000年に入り外資ファンドへの規制緩和が進み、外資系ファンドが資金力を基にバブル崩壊後に負債を抱えた日本企業の買収を積極的に行ってきた背景を描いたドラマで、当時の日本企業の体質やファンドの仕組みなどもなんどなく理解でて面白かった。それに、ドラマの中のセリフには、社会に出て働いたことのある人なら一度は考え、感じた事があるような心に突き刺さるセリフが多く出てきて共感も得やすかったのかな。

先週の新聞で、「中国勢、日本買い加速」という記事が載っていた。パナソニックが28日に傘下の三洋電気の白物家電事業を中国のハイアール社へ売却するとい報道を基にした記事だった。ハイアール社は三洋電気が持つ洗濯機や冷蔵庫の最先端技術を活用し、高付加価値製品を開発。新興国を中心に海外展開を加速させる予定。一方のパナソニック社は子会社の三洋電機の洗濯機/冷蔵庫事業をハイアール社へ売却することで、もともとパナソニック社と三洋電機社で別々にあった洗濯機と冷蔵庫の開発と生産を一本化し、経営資源の集中、商品力の強化を行い、事業拡大を目指す。

2011年1-6月の中国企業(HKを含む)による日本企業へのM&Aは321億円で、すでに10年通年を上回っているとのこと。日本企業の姿勢にも変化があり、今回のパナソニック社のように中国企業に事業を売却した方が国内で再編、集約するより成長の見込みがあると考えている経営者が増えてきている。

日本の技術やノウハウがどんどん海外企業へ売られていく事には100%は賛成できない。日本の技術者や研究者、実際に現場でもの作りをしている人達から出た声によって改善されてきた技術やノウハウは一朝一夕には生まれないと思う。それが、海外へ流出してしまうのはやっぱり悲しい。
しかし、現代の国際社会では海外企業との合併や事業提携なくしては企業そのものの存続も危ぶまれる時代。日本の技術やノウハウがむやみやたらに海外へ流出することがないような経営を今の時代の経営者には求められていると思う。

とはいえ、実際に技術やノウハウを使うのは人間。日本で出来ていたことが、同じように海外企業でも100%同じように扱えるかといえば、扱えないのではないかと思う。先日の中国で起きた高速鉄道の事故がいい例なのかもしれない。

TV drama of a vulture fund 

I saw a TV drama named 「HAGETAKA」which was broadcast on NHK in 2007,vol.1 to 6 in total at once. I have heard that this drama is really interesting from many friends. Yes, they are right! It was a interesting. The casting is great and I got drawn into Mr.Nao Omori, Mr.Kyohei Shibata’s realistic acting. I re-realize that Nao Omori is really cute.

This drama is based on a novel 「HAGETAKA」 and 「BUYOUT」 by a former newspaper journalist, Jin Mayama. This is a dorama about how foreign investment company has launched a hostile bid for a debt-heavy company due to the burst of the bubble economy by promoting a relaxation of regulations for a foreign investment company after year of 2000. Through this dorama, I could understand that the Japanese company’s inner working at the time and the systems of vulture found and Buy-out found roughly. Also, I felt sympathy for the dialogues appear in the dorama many times that many working people must have taken a moment to consider/feel same things.

I read an article about “China promote Japanese buying” last week. This article was based on the press report that Panasonic will sell out a white goods division of its Sanyo Electric Co., Ltd to Haier Elextronics Group, China. Haier will develop and launch high value-added product with the assistance of the most advanced technology of Sanyo onto the advancing countries. On the other hand, Panasonic set out to expansion of business of the white goods such as a washing machine and refrigerator by unifying thire development and production that Panasonic and its Sanyo have been doing separately so far.

The amount of M&A from Chinese company to Japanese company from January to June 2011 is 321 billion that is over the total amount during this decade. The attitude of Japanese company also has been changed. As Panasonice case, many company management tend to think that there is a hold promise of future growth to sell out to Chinese company before restructuring and consolidation in Japan.

I do not 100% agree that Japanese own technology and know-how sell out to foreign company. Japanese own technology and know-how that making progress by the technician, researchers and workers in the field can not possibly be achieved overnight. It’s a pity that valuable technology and know-how sell out to foreign companies. However, this is the age that needs to be aggressively advanced into the field of international community. Otherwise, it’s possible to face the difficulty of survive. Therefore, I think that at this age, the company management is required to manage the company not to flow their own technology outside Japan easily.

Nevertheless, the human handle these technology. Thus, even if foreign company buy our technology, we can not say that they can handle them as same as ours. The train accident in China in this month might be a good example.
